Unfair contract terms in small amount credit contracts. The Court imposed an agreed penalty of $3.5 million for admitted contraventions on an agreed statement of facts. ASIC did not press its unconscionable conduct allegations. Venture 5 obtained the certainty of s 12GNB(1) orders, payment of the penalty on terms, and a cooperation discount on the penalty sought by ASIC.

The borrowers' Stubbings-style unconscionable conduct case against short-term bridging finance lenders was rejected, or abandoned in closing argument. The borrowers also failed on their pleaded penalty interest case. The Court nonetheless found that the default interest rate was a penalty. The lenders were awarded their costs of the proceedings on the indemnity basis.
